Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Arco Construction, Inc. ("Company," "we," "us," or "our") concerning your access to and use of our website and construction services.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access our website or use our services.

1. Services

Arco Construction, Inc. provides general construction services including but not limited to:

  • Residential construction and building
  • Commercial construction projects
  • Renovation and remodeling services
  • General contracting services
  • Project management

All services are subject to separate written contracts that detail project scope, timeline, and pricing.

2. Intellectual Property Rights

Unless otherwise indicated, our website and its original content, features, and functionality are owned by Arco Construction, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our copyrighted material without our prior written consent.

3. User Representations

By using our services, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You are at least 18 years of age
  • You will not access our services through automated means
  • You will provide accurate and complete information when requested
  • You own or have authorization to use any property for which you engage our services

4. Project Proposals and Estimates

All project estimates and proposals provided by Arco Construction, Inc. are preliminary and subject to change based on:

  • Final design specifications and material selections
  • Site conditions discovered during construction
  • Changes requested by the client after initial proposal
  • Regulatory requirements and permitting changes

Final pricing will be detailed in a written contract before construction begins.

5. Payment Terms

Payment terms will be specified in individual project contracts. Generally:

  • A deposit may be required before work begins
  • Progress payments may be scheduled at project milestones
  • Final payment is due upon project completion
  • Late payments may incur interest charges

6. Change Orders

Any changes to the agreed scope of work must be documented in writing through a change order. Change orders will specify:

  • Description of the change
  • Cost impact, if any
  • Schedule impact, if any

Work on change orders will not proceed until approved in writing by the client.

7. Warranties

Arco Construction, Inc. warrants that work will be performed in a workmanlike manner consistent with industry standards. Specific warranty terms and durations will be detailed in individual project contracts.

Warranties do not cover:

  • Normal wear and tear
  • Damage caused by misuse or negligence
  • Items not supplied or installed by Arco Construction, Inc.
  • Acts of nature or force majeure events

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCO CONSTRUCTION, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claim arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Arco Construction, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights

10. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, strikes, labor disputes, government actions, or supply chain disruptions.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Caroline County, Virginia, and you hereby consent to the personal jurisdiction of such courts.

13. Termination

We reserve the right to terminate or suspend your access to our website and services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any project-specific contracts, constitute the entire agreement between you and Arco Construction, Inc. regarding our services and supersede all prior agreements.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last updated" date.

Your continued use of our services after any changes constitutes acceptance of the new Terms.
